1. Acceptance of Terms
By creating an account, accessing, or using ITIL Sidekick ("the Service"), you agree to these Terms of Use. If you do not agree, do not use the Service.
2. The Service
ITIL Sidekick is a service-availability monitoring and incident management platform. We make commercially reasonable efforts to keep the Service available but do not guarantee uninterrupted operation. The Service is provided "as is" and "as available."
3. Your Account
You are responsible for all activity that occurs under your account. You agree to keep your password and API tokens secure and to notify us immediately of any unauthorized use.
4. Acceptable Use
You agree NOT to:
- use the Service to monitor or probe URLs you do not own or have explicit
permission to monitor;
- send unsolicited email through the status-page subscription feature;
- attempt to gain unauthorized access to other accounts or systems;
- reverse-engineer, decompile, or otherwise attempt to derive the source
code of the Service;
- resell the Service or relabel it as your own offering without a written
reseller agreement.
We may suspend or terminate any account that violates this policy at our sole discretion.
5. Subscription & Payment
Free-tier accounts incur no charge. Paid plans are billed monthly in advance and renew automatically until cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period and no refund is issued for partial periods unless required by law.
Pricing is shown at /pricing and may change with 30 days' notice.
6. Your Data
You retain ownership of all data you submit to the Service. You grant us a limited licence to store, process, and transmit your data as necessary to provide the Service. We do not sell your data and do not use it for advertising.
We may aggregate non-personally-identifiable information for product improvement and benchmarking.
You may export your data at any time via /api/account/export.
7. Data Deletion
You may delete your account at any time. We retain backups for up to 30 days after deletion for disaster recovery before permanent removal.
8. Service Levels
Free plans carry no SLA. Paid plans target 99.5% monthly uptime measured at the API endpoint. Service credits for missed SLA targets are documented in your subscription agreement.
9. Limitation of Liability
To the maximum extent permitted by law, our total liability for any claim arising out of or related to the Service is limited to the amount you paid us in the 12 months preceding the claim, or USD $100 if you are on the free plan. We are not liable for indirect, incidental, or consequential damages.
10. Indemnification
You agree to indemnify and hold harmless ITIL Sidekick and its operators from any claim arising out of (a) your use of the Service in violation of these Terms, (b) data you submit to the Service that infringes a third party's rights, or (c) URLs you monitor without authorization.
11. Changes
We may update these Terms with reasonable notice (at least 30 days for substantive changes). Continued use of the Service after the effective date constitutes acceptance.
12. Governing Law
These Terms are governed by the laws of Ontario, Canada, without regard to conflict-of-law principles. Exclusive jurisdiction lies with the courts of Ontario.
